These Terms of Service ("Terms") govern your use of the Inkly platform ("Platform") operated by Nova Page Publishing Ltd. ("Company," "we," "our," or "us"). By using the Platform as a reader or author, you agree to be bound by these Terms.
General
General Terms
G1. Acceptance of Terms
By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
G2. Eligibility
You must be at least 18 years of age to create an account on the Platform. By creating an account, you represent and warrant that you are of legal age.
G3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials. Each account is for a single individual — one person per account. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
G4. Acceptable Use
You agree not to engage in any of the following prohibited activities: harassment, spam, impersonation, or any illegal activity. You may not use automated means to access or scrape the Platform. You may not circumvent any security measures implemented on the Platform.
G5. Community Features
Comments, posts, and other user-generated content must be respectful and on-topic. We may remove content that violates community standards. By posting community content, you grant us a non-exclusive license to display your community content on the Platform. You retain ownership of your community posts.
Part A
Reader Terms
R1. Purchases and Digital Content
R1.1 Nature of Purchase. When you purchase content on Inkly, you are purchasing a license to access digital content. Digital content is delivered instantly upon successful payment. You are not purchasing a physical product.
R1.2 Free Preview. All paid content on Inkly includes a free preview (a portion of the work that you can read before purchasing). This preview allows you to evaluate the content before making a purchase decision.
R1.3 Pricing. Content prices are set by authors and clearly displayed before purchase. For long-form serialized works, readers may purchase chapters in batches (tiers) or as a whole book when available. Prices include all applicable fees.
R2. Refund Policy
All digital content purchases are final and non-refundable.
Because digital content is delivered instantly and cannot be "returned," all sales are final once content is unlocked. You acknowledge and agree to this policy each time you make a purchase by checking the consent box at checkout.
R2.1 Exceptions. Refunds will only be issued in the following circumstances:
- Duplicate or erroneous charges (e.g., you were charged twice for the same purchase)
- Payment processing errors (e.g., you were charged but content was not delivered)
- Technical failures that permanently prevent access to purchased content
R2.2 How to Request. To request a refund for an eligible exception, contact us at our contact page within 30 days of purchase with your purchase receipt and a description of the issue. Eligible refunds will be processed within 15 business days to the original payment method.
R2.3 Rationale. This policy is consistent with industry standards for digital content (used by Apple Books, Kobo, and similar platforms). The free preview feature ensures you can evaluate content quality before purchasing.
R3. Purchase Confirmation
R3.1 Receipt. A purchase confirmation receipt will be sent to your email address via our payment processor (Stripe) immediately upon successful payment.
R3.2 Seller Information. All purchases are made from Nova Page Publishing Ltd. Payment is securely processed by Stripe, Inc.
R3.3 Consent. By completing a purchase, you confirm that you have read and agreed to these Terms, including the no-refund policy for digital content.
R4. Reader Rights
R4.1 Access. Purchased content remains accessible as long as it is available on the Platform. If content is removed by the author, we will make reasonable efforts to maintain access for existing purchasers.
R4.2 Reviews. You are free to post honest reviews about content you have purchased or read. We do not restrict or penalize honest reader reviews.
R4.3 Disputes. If you have a dispute regarding a purchase, you may contact us directly, file a complaint with Consumer Protection BC, or pursue resolution through the BC Civil Resolution Tribunal. We do not require mandatory private arbitration.
Part B
Author Terms
1. Eligibility
You must be at least 18 years of age to publish content on Inkly. By submitting content, you represent and warrant that you are of legal age and have the authority to enter into these Terms.
2. Content Ownership and License
2.1 Ownership. You retain full ownership and copyright of all content you submit to the Platform. Inkly does not claim any ownership rights over your work.
2.2 License Grant. By publishing on Inkly, you grant us a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote your content on the Platform and in connection with the Platform's marketing activities. This license terminates when you remove your content from the Platform.
2.3 Original Work. You represent and warrant that all content you submit is your original work, does not infringe upon the intellectual property rights of any third party, and has not been previously published in a manner that would conflict with this license.
3. Content Review and Publishing
3.1 Content Review. All content submitted for publication is subject to our automated content review system. Content must comply with our Content Policy before it can be published.
3.2 Review Process. Our review system evaluates content for compliance with applicable laws, our Content Policy, and community standards. Review decisions are made through a combination of automated systems and, where applicable, manual review.
3.3 Publishing Approval. We reserve the right to reject, remove, or restrict any content that violates these Terms or our Content Policy, at our sole discretion.
3.4 Content Rating. Content that passes review may be assigned a content rating (e.g., general audience or mature/18+). Mature-rated content may have reduced visibility on the Platform, including exclusion from the homepage and general search results.
4. Submission Requirements
4.1 Format. Long-form works must be submitted as individual chapters. Short-form works must be submitted as complete stories.
4.2 Quality Standards. We maintain minimum quality standards for published content. Submissions that are incomplete, contain excessive errors, or consist primarily of non-narrative content may be rejected.
4.3 Submission Limits. To ensure platform quality and prevent abuse, we enforce reasonable submission limits. These limits may be adjusted from time to time at our discretion. Attempting to circumvent submission limits may result in account restrictions.
4.4 Categories. Authors must accurately categorize their content using the Platform's category system. Miscategorization may result in content removal or reclassification.
5. Content Violations and Enforcement
5.1 Violations. Content that violates our Content Policy will be flagged and may not be published. Authors will be notified of the specific reasons for rejection.
5.2 Repeated Violations. Repeated content violations may result in progressive enforcement actions, including but not limited to:
- Temporary cooldown periods for resubmission
- Locking of specific works from further submission
- Temporary account suspension
- Permanent account termination
The severity and speed of enforcement escalation is determined at our sole discretion based on the nature and frequency of violations.
5.3 Appeals. Authors may request a manual review of content rejection decisions. Manual reviews are subject to a non-refundable processing fee. Each work may only be appealed once. Appeal decisions are final.
6. Revenue, Pricing, and Payouts
6.1 Free Content. Authors may publish content for free distribution on the Platform.
6.2 Paid Content & Revenue Split. Authors may set prices for their content through the Platform's pricing tools. For each sale, the revenue is split as follows: Inkly retains a 10% platform fee on the sale price. The payment processor (Stripe) charges a processing fee (approximately 2.9% + $0.30 per transaction; actual rates may vary — see stripe.com/pricing for current rates). The Stripe processing fee is deducted from the author's 90% share. Authors receive the remainder after both fees are deducted. All amounts are in USD.
6.3 Inkly Select (Bundle Program). Authors may opt individual books into the Inkly Select program. When enrolled, readers may use bundle credits to unlock the book. For each bundle unlock, the author earns a per-credit share calculated as follows: first, the Stripe processing fee is deducted from the bundle purchase price to determine the net revenue; then the net revenue is divided equally among the total credits in the bundle to determine each credit's value; finally, Inkly retains 10% of each credit's value as a platform fee, and the author receives the remaining 90%. Authors may opt out of Inkly Select at any time per book, but existing unlocks remain valid and are not reversed.
6.4 Pricing Lock. Once a paid story is published, its pricing structure (including price per tier, chapters per tier, whole book price, and number of free preview chapters) is permanently locked and cannot be changed. This protects readers who have already made purchases based on the original pricing terms. Authors should carefully consider their pricing before publishing.
6.5 Hold-Back Period. Each transaction has a 15-day hold-back period (14-day reader refund window plus a 1-day safety buffer). During this period, the author's share from that transaction is held and not eligible for withdrawal. After 15 days, the amount becomes cleared and will be included in the next available withdrawal. Only cleared funds count toward the minimum withdrawal threshold.
6.6 Minimum Withdrawal. Authors must accumulate a minimum cleared balance of $25.00 USD to request a withdrawal. Balances below the minimum roll over to the next period.
6.7 Payout Schedule. Author payouts are processed automatically once per month, by the 15th of each month, covering cleared earnings from the prior period. If your cleared balance meets the minimum threshold, a payout is initiated automatically via Stripe Transfer — no action is required on your part. Authors may pause automatic payouts at any time from their dashboard; a pause request takes effect the following month — the current month's payout (if any) will still be processed as scheduled. While paused, earnings continue to accumulate and will be paid when auto-payout is resumed. Transfer fees for payouts are paid by Inkly — the amount you see as "available" is the amount you receive.
6.8 Stripe Connect. Authors must connect a Stripe account to receive payouts. Inkly transfers funds to your connected Stripe account, and Stripe handles the deposit to your bank account according to your payout schedule. Inkly is not responsible for delays caused by Stripe or your financial institution.
6.9 Refund Impact. Readers may request a refund within 14 calendar days of purchase. When a refund is granted, the corresponding author share is deducted from the author's balance. Refund deductions are taken from held funds when possible; if held funds are insufficient, the deduction is applied to cleared funds.
6.10 Payout Withholding. Nova Page Publishing Ltd. reserves the right to: withhold payouts if there is reasonable suspicion of fraud, policy violation, or disputed transactions; delay payouts during an investigation for up to 90 days; deduct from future payouts any amounts previously paid that were obtained through fraud, chargebacks, or Terms violations; and offset refunded amounts against pending or cleared balance.
6.11 Advertising. The Platform may display advertisements alongside free content. Authors acknowledge that advertising is a core part of the Platform's business model.
6.12 Fee Changes. Inkly reserves the right to modify the platform fee rate with 30 days' advance notice to authors. Any fee changes apply only to transactions occurring after the effective date.
7. Content Obligations and Modifications
7.1 Content Freeze. Once content is published and available for purchase, published chapters are permanently locked and cannot be modified by the author. This ensures that readers who purchase your content always receive the version they paid for. For serialized (long-form) works, authors may add new chapters, which must pass content review before going live. For short-form works, all content is locked after publication.
7.2 Error Corrections. Authors may make minor corrections to published content (such as fixing typos or formatting issues) through the Platform's self-service correction tool. Each chapter includes 3 free corrections, limited to 50 word-level changes each. Once free corrections are exhausted, authors may purchase additional correction credits ($1.00 USD per 10 credits, non-refundable). Paid corrections follow the same rules as free corrections (up to 50 word-level changes each) and may be used across any chapter. A maximum of 3 correction credit purchases is permitted per account (30 total paid corrections). All corrections must pass our automated content review before being applied. Corrections that introduce content policy violations will be rejected.
7.3 New Chapters. For long-form serialized works, you may continue adding new chapters after publication. Each new chapter must pass our content review system before it becomes available to readers. New chapters are subject to the same pricing terms set at the time of initial publication.
7.4 Stop Selling & Delisting. You may choose to stop selling your content at any time by changing its status to "unlisted." When a work is unlisted: (a) it is removed from all public listings, search results, and browse pages — new readers will not be able to discover or purchase it; (b) readers who have already purchased the work retain permanent, irrevocable access to the full content they paid for, including from their bookshelf and reading history; (c) Inkly retains a non-exclusive, perpetual license to host and deliver the purchased content solely for the purpose of fulfilling existing reader access rights. This license terminates for each copy only when no reader with a valid access right to that copy remains on the Platform. You acknowledge that delisting does not constitute a request to delete content that has been sold, and that Inkly is obligated to continue serving purchased content to existing buyers.
7.5 Platform-Initiated Removal. We may remove content that violates these Terms, our Content Policy, or applicable law. We will make reasonable efforts to notify you of any such removal. Readers who purchased removed content will be handled on a case-by-case basis in accordance with applicable consumer protection laws.
7.6 Duplicate Content. Each work published on the Platform must contain original content. Republishing substantially similar content under a different title or author name is prohibited and may result in immediate removal and account suspension.
7.7 Promotional Services. Inkly offers optional promotional services ("Inkly Promo") to help authors market their books. These services include: (a) TikTok content creator — automated line-by-line video generation for BookTok; (b) Instagram post creator — posts, stories, and carousel images for Booktagram; (c) Pinterest pin generator — tall pins, quote cards, and list pins; (d) Reddit post templates — ready-to-post discussion and recommendation content; (e) Homepage featured placement — eligible books may appear in featured sections. These services require explicit opt-in and are separate from basic Platform features. Authors who activate Inkly Promo agree to maintain each published book on the Platform for a minimum of 24 months from that book's publish date ("Promotional Commitment Period"). During each book's commitment period, that book cannot be unlisted or deleted. Books published at different times have independent commitment periods. This commitment does not apply to basic Platform features including publishing, community posts, comments, and standard author tools. The promotional opt-in is presented separately at the time of service activation and requires explicit consent.
8. Indemnification
You agree to indemnify and hold harmless Nova Page Publishing Ltd., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your content or your violation of these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, Inkly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of revenue, data, or content.
9.5 Disclaimer of Warranties. The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free.
10. Modifications
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of British Columbia. Nothing in these Terms limits your rights under the British Columbia Business Practices and Consumer Protection Act.
12. Account Termination
We may suspend or terminate your account if you violate these Terms. You may close your account at any time by contacting us. Upon termination: (a) your license to use the Platform ceases; (b) for authors, existing reader access to purchased content is maintained per Section 7.4; (c) any pending payouts will be processed according to the standard payout schedule, subject to Section 6.10.
13. Electronic Communications
By creating an account, you consent to receive electronic communications from us regarding your account, transactions, and Platform updates. These communications may include email notifications for purchases, payouts, and policy changes.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy and Content Policy, constitute the entire agreement between you and Nova Page Publishing Ltd. regarding use of the Platform.
